Terms of Service

1. Acceptance of Terms

By purchasing a subscription, creating an account, or using RepoClip ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

RepoClip is a web-based SaaS application that provides:

• AI-powered analysis of GitHub repositories
• Automatic generation of promotional videos from code
• AI-generated images, narration, and video rendering
• Cloud-based video storage and delivery

Delivery: Digital service immediately available after subscription confirmation.

3. Subscription Plans

RepoClip offers the following subscription plans:

• Free Plan: 2 videos per month, 720p resolution
• Pro Plan: 50 credits per month, 1080p resolution
• Agency Plan: 200 credits per month, 4K resolution

Credits expire at the end of each billing cycle and do not roll over to the next period.

4. User Responsibilities

You agree to:

• Only submit repositories you have the right to use and share
• Not use the Service for illegal or harmful purposes
• Not attempt to reverse engineer or abuse the Service
• Maintain the security of your account credentials
• Not resell or redistribute generated videos without rights

5. Intellectual Property

You retain ownership of your code and content. By using RepoClip, you grant us a limited, non-exclusive license to process your code solely for the purpose of generating videos.

Videos generated by RepoClip are owned by you, subject to the usage rights granted by your subscription plan. The RepoClip service, branding, and technology remain the property of TOUEI TATEMONO CO., LTD.

6. Third-Party Services

The Service integrates with third-party services including GitHub, Google (Gemini AI), Fal.ai, OpenAI, and AWS. Your use of these integrations is subject to their respective terms and privacy policies. We are not responsible for the availability or functionality of third-party services.

7. Disclaimer of Warranties

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected

8. Limitation of Liability

In no event shall TOUEI TATEMONO CO., LTD., its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party related to the Service
• Unauthorized access, use, or alteration of your data

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

9. Termination

You may cancel your subscription at any time. We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Tokyo, Japan.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on our website. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

Privacy Policy

1. Information We Collect

When you use RepoClip, we collect the following information:

• Account information (email, name, avatar) from your GitHub profile
• GitHub repository URLs and code you choose to analyze
• Generated video content and metadata
• Usage data and analytics

2. How We Use Your Information

We use your information to:

• Provide and improve our video generation service
• Process your subscription through Paddle
• Send service-related communications
• Analyze and improve our AI models and service quality

• Supabase - Data storage and authentication

5. Payment Processing

All payments are processed by Paddle.com, our Merchant of Record. We do not have access to your payment card details. Please refer to Paddle's Privacy Policy for information on how they handle your payment data.

6. Data Security

We implement industry-standard security measures to protect your data, including encryption in transit (TLS) and at rest. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.

7. Your Rights (GDPR)

For users in the European Union, you have the following rights:

• Right of Access: Request information about data we hold about you
• Right to Rectification: Request correction of inaccurate data
• Right to Erasure: Request deletion of your data
• Right to Data Portability: Request a copy of your data in a portable format

Refund Policy

1. Refund Eligibility

You are eligible for a full refund if:

• Your request is made within 14 days of the original purchase date
• You provide your order number or the email address used for purchase
• This is your first refund request for RepoClip

2. How to Request a Refund

To request a refund, please contact us using one of the following methods:

• Paddle Support: Contact Paddle directly through your purchase receipt

Please include your order number and the email address used for the purchase to expedite processing.

3. Refund Processing

Refunds are processed by Paddle.com, our Merchant of Record. Once approved:

• Refunds are typically processed within 5-10 business days
• The refund will be credited to the original payment method
• You may see "Paddle.com" on your statement for the refund

4. EU Consumer Rights

If you are a consumer in the European Union, you have the right to cancel your purchase within 14 days without giving any reason, in accordance with EU consumer protection laws.

To exercise your cancellation right, you must inform us of your decision before the expiration of the 14-day period. Note that for digital services, by using the Service after purchase, you consent to immediate performance and acknowledge that you may lose your right of withdrawal once the Service has been used.

5. Post-Refund

After a refund is processed:

• Your subscription will be cancelled immediately
• You will lose access to premium features
• Previously generated videos may remain accessible on the free plan

6. Exceptions

We reserve the right to deny refund requests in cases of:

• Suspected fraud or abuse
• Multiple refund requests from the same individual
• Requests made after the 14-day refund period
